What you’ll be doing:

  • Draft, review, and negotiate a wide range of agreements, including SaaS subscription agreements, NDAs, MSAs, DPAs, vendor contracts, and partnership agreements, ensuring they align with company goals and legal standards.
     
  • Maintain corporate governance compliance, including recordkeeping, operating agreements, and board documentation for a private equity-backed LLC.
     
  • Support board and investor communications, including resolutions, consents, and other governance documents.
     
  • Advise on data privacy and compliance (GDPR, CCPA) while helping to design and implement company-wide compliance programs and policies.
     
  • Manage and administer equity-based and incentive compensation plans, ensuring alignment with LLC structures and tax requirements.
     
  • Collaborate with private equity sponsors on legal matters related to financing, transactions, and reporting.
     
  • Support M&A due diligence and documentation for strategic growth initiatives.
     
  • Protect JobNimbus’ intellectual property portfolio, including trademarks, copyrights, and licensing agreements.
     
  • Identify and mitigate potential legal and regulatory risks across all business operations.
     
  • Provide employment law guidance on employee agreements, policies, and terminations across multiple states.
     
  • Manage pre-litigation matters and coordinate external counsel on dispute resolution and litigation as necessary.
     
  • Partner with cross-functional teams (Finance, HR, Product, Sales) to ensure legal strategies support business objectives.
     
  • Educate internal teams through training on legal and compliance topics like data privacy, contracts, and intellectual property.
     

What makes you the hero for this job:

  • JD from an accredited law school with active bar membership in at least one U.S. jurisdiction.
     
  • 7+ years of legal experience, ideally including both in-house counsel experience at a SaaS or technology company and prior law firm training.
     
  • Deep understanding of commercial contracting in a SaaS environment, including data privacy, IP, and complex vendor negotiations.
     
  • Strong working knowledge of corporate governance, equity structures, and private equity-backed LLC frameworks.
     
  • Demonstrated experience with compliance, data privacy, and employment law across multiple states.
     
  • Skilled at balancing legal risk with practical business judgment in a fast-moving, growth-oriented environment.
     
  • Exceptional communicator with the ability to build trust and credibility with executives, board members, and cross-functional partners.
     
  • Proven ability to manage outside counsel efficiently and within budget.
     
  • Driven by ownership, proactive learning, and delivering clarity to complex situations.
